End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Geel Media ("Geel," "we," "us") governing your use of any software products created, published, or otherwise made by Geel (each a "Product"). By purchasing, downloading, installing, or using any Product, you agree to be bound by the terms of this Agreement.

1. License Grant

Geel grants you a limited, non-exclusive, non-transferable license to install and use the Product on up to two (2) computers owned or controlled by you, provided the Product is not in active use on more than one computer simultaneously. This license is for personal or commercial use in your own productions.

Your plan determines the term of this license. For subscription plans (monthly or yearly), the license remains active only while your subscription is current and terminates automatically if your subscription lapses or is cancelled. For a one-time "Lifetime" purchase, the license is perpetual.

2. Restrictions

You may not redistribute, sublicense, resell, rent, lease, or share the Product or any license key with any third party. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Product. You may not remove, alter, or obscure any copyright, trademark, or proprietary notice included in the Product. You may not use the Product to build a competing product or service.

3. Ownership

The Product and all copies thereof are the intellectual property of Geel Media and are protected by copyright law and international treaty provisions. Geel retains all rights, title, and interest in the Product, including all intellectual property rights. This Agreement does not grant you any ownership interest in the Product.

4. Updates

Your license includes all updates that may be available to the major version you purchased at no additional cost. Major version upgrades (e.g., v1.x to v2.x) may require a separate purchase or upgrade fee at Geel's discretion. Geel is not obligated to provide updates, upgrades, or support for any Product.

5. Refunds and Cancellation

All sales are final. Due to the digital nature of the Product, refunds are generally not available once a license key has been delivered or the Product has been downloaded. If the Product is materially defective and we are unable to resolve the issue, we may offer a refund at our sole discretion. For subscription plans, you may cancel at any time to stop future renewals; cancellation does not refund the current billing period, and unused time is not prorated. 6. Disclaimer of Warranties

The Product is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Geel does not warrant that the Product will be error-free, uninterrupted, or compatible with any particular hardware or software configuration.

7. Limitation of Liability

In no event shall Geel be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use or inability to use the Product, even if Geel has been advised of the possibility of such damages. Geel's total liability under this Agreement shall not exceed the amount you paid for the Product.

8. Termination

This Agreement is effective until terminated. Your license terminates automatically if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Product in your possession. Sections 2, 3, 6, 7, and 9 survive termination.

9. Governing Law

Any disputes arising under this Agreement shall be resolved by binding arbitration before a single arbitrator appointed by the American Arbitration Association and taking place in Los Angeles County, California. YOU AND GEEL VOLUNTARILY, KNOWINGLY, IRREVOCABLY, AND UNCONDITIONALLY WAIVE ANY RIGHT TO HAVE A JURY PARTICIPATE IN RESOLVING ANY DISPUTE IN ANY WAY RELATED TO THE PRODUCT. THIS PROVISION IS A MATERIAL INDUCEMENT FOR BOTH PARTIES TO ENTER INTO THIS AGREEMENT.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and Geel regarding the Product and supersedes all prior agreements, understandings, and communications, whether written or oral. Geel reserves the right to modify this Agreement at any time by posting the revised terms on its website. Your continued use of the Product after any modification constitutes acceptance of the updated terms.
